1. Acceptance of Terms

By accessing or using Niyog AI (the "Service"), you agree to be bound by these Terms and Conditions. If you do not agree, do not use the Service. Niyog AI is currently operated as a pre-incorporation Indian sole proprietorship; the company entity (Niyog AI Pvt Ltd) is targeted for registration in June 2026. References to "Company", "we", or "us" in these Terms refer to the operator of Niyog AI; after incorporation, the company entity will succeed to all rights and obligations under these Terms with no change to the Service.

2. Description of Service

Niyog AI provides a WhatsApp-Native Business Team — a General Manager agent ("Alex") plus 25 specialised AI teammates organised into six departments (Sales, Operations, Marketing, Finance, Reputation, Intelligence) — accessible via WhatsApp. The platform includes lead capture, lead qualification, follow-up sequences, scheduling, invoicing, reporting, broadcasts, reviews, briefings, and other business operational features.

3. Account Registration

To use the Service, you must:

  • Be at least 18 years of age
  • Provide accurate and complete information during onboarding
  • Own or have legal authority to use the WhatsApp Business number provided
  • Maintain the security of your account credentials

4. Subscription and Payments

  • Subscriptions are billed monthly or annually in advance.
  • Prices are in Indian Rupees (INR) and include applicable taxes.
  • GST invoices are provided with every payment.
  • Payments are non-refundable except as stated in our Refund Policy.
  • Failure to pay will result in service suspension after a 7-day grace period.
  • We reserve the right to change pricing with 30 days' notice.

5. Acceptable Use

You agree not to use the Service to:

  • Send spam, unsolicited messages, or messages to non-opted-in contacts
  • Violate WhatsApp's Terms of Service or Meta's Business Policies
  • Engage in fraudulent, deceptive, or misleading business practices in any industry
  • Infringe on any third party's intellectual property rights
  • Transmit malicious code or attempt to compromise our systems
  • Resell or sublicense the Service without written permission

6. WhatsApp Compliance

You are solely responsible for ensuring all WhatsApp messages sent via Niyog AI comply with Meta's WhatsApp Business Policy, including maintaining opt-in records from your contacts. Violations that result in your WhatsApp number being banned are not grounds for a refund.

7. AI Disclaimer

Niyog AI uses artificial intelligence to generate scheduled messages and responses. While we strive for accuracy, AI-generated content may occasionally contain errors. You are responsible for reviewing agent behaviour during the onboarding period and reporting any issues promptly. We are not liable for business outcomes resulting from AI-generated communications.

8. Uptime and Service Availability

We target 99.5% monthly uptime for the core platform. Scheduled maintenance will be announced with 24 hours' notice where possible. Unplanned downtime does not entitle subscribers to refunds unless it exceeds 72 continuous hours in a single month.

9. Intellectual Property

All software, algorithms, designs, and content comprising the Niyog AI platform are the intellectual property of the operator of Niyog AI (and, after incorporation, Niyog AI Pvt Ltd). You retain ownership of your lead data and business data. By using the Service, you grant us a limited licence to process your data to provide the Service.

10. Limitation of Liability

To the maximum extent permitted by Indian law, the operator's total liability to you for any claim arising from the Service shall not exceed the fees paid by you in the 3 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.

11. Termination

You may cancel your subscription at any time from your account settings or by contacting us. We may suspend or terminate accounts that violate these Terms, with or without notice depending on severity. Upon termination, your data is retained for 30 days then permanently deleted.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of India, without regard to its conflict-of-laws principles. Both parties submit to the exclusive jurisdiction of the courts at Kolkata, West Bengal for any matter that cannot be resolved by arbitration.

12.1 Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms, including their breach, termination, validity, or interpretation, shall first be attempted to be resolved through good-faith negotiation between the parties for thirty (30) days. Failing that, the dispute shall be finally settled by binding arbitration administered under the Arbitration and Conciliation Act, 1996 (India), as amended. The seat and venue of arbitration shall be Kolkata, India. The tribunal shall consist of a sole arbitrator mutually appointed by the parties; if the parties cannot agree within fifteen (15) days, the appointment shall be made under the Act. The proceedings shall be conducted in English. The award shall be final and binding on both parties.

12.2 Equitable relief. Nothing in this section limits either party's right to seek injunctive or other equitable relief from a court of competent jurisdiction to protect intellectual property, confidential information, or to prevent immediate, irreparable harm.
